1. Acceptance of these terms
These Terms of Use ("Terms") govern your access to and use of the Cognitive Lab website and, except where a separate signed agreement applies, the CogniFlow platform and related services (together, the "Services"). By using the Services you agree to these Terms. If you are agreeing on behalf of an organisation, you represent that you are authorised to bind it.
2. Definitions
- "CogniFlow" — the operations intelligence platform provided by Cognitive Lab, including the cloud tiers and the CogniFlow Secure deployment.
- "Customer Data" — data you connect to or load into CogniFlow, and the outputs derived from it for you.
- "Authorised User" — an individual your organisation permits to use the Services.
3. Use of the website
The website is provided for general information. You may view and use it for lawful purposes. You may not copy, scrape, reverse-engineer, or misuse the site or attempt to access non-public areas.
4. Access to CogniFlow
Subject to these Terms and any applicable order, Cognitive Lab grants your organisation a non-exclusive, non-transferable, revocable right for Authorised Users to access and use CogniFlow for your internal business operations during the subscription term. All rights not expressly granted are reserved.
5. Accounts & security
- You are responsible for the confidentiality of credentials and for activity under your accounts.
- You must assign roles appropriately and ensure Authorised Users comply with these Terms.
- Notify us promptly of any suspected unauthorised access.
6. Customer Data & your rights in it
- You own your Customer Data. Cognitive Lab claims no ownership of it.
- You grant us a limited right to process Customer Data solely to provide, secure and support the Services, and as instructed by you.
- You are responsible for the accuracy and legality of Customer Data and for having the rights to provide it.
- We handle personal information within Customer Data as described in our Privacy Policy and, where applicable, a Data Processing Addendum.
- With CogniFlow Secure, Customer Data remains entirely within your environment.
7. Intellectual property
The Services, including all software, models, methods, designs, and documentation, are owned by Cognitive Lab and protected by intellectual-property laws. Customers receive intelligence and outputs — never our source code, model internals, or architecture. You may not copy, modify, decompile, reverse-engineer, or create derivative works from the Services, or attempt to extract their underlying methods. Feedback you provide may be used by us without restriction.
8. Acceptable use
You agree not to:
- Use the Services unlawfully or to infringe others' rights;
- Upload malware or attempt to disrupt, probe, or breach the Services or their security;
- Circumvent access controls, usage limits, or tenant isolation;
- Use the Services to build a competing product, or to benchmark for a competitor;
- Resell or provide the Services to third parties except as agreed in writing.
9. AI, automation & human oversight
CogniFlow produces recommendations and, where you enable it, can take bounded, reversible actions in connected systems. You acknowledge and agree that:
- Automated action is governed by the controls you configure — including authorisation limits, human-approval requirements, and an emergency stop.
- You are responsible for the configuration you choose and for maintaining appropriate human oversight of automated actions.
- Outputs are decision support; you remain responsible for business decisions taken in reliance on them.
- The Services are not a substitute for professional, legal, financial, or safety-critical judgement where such judgement is required.
10. Third-party systems
The Services connect to third-party systems (such as your ERP). We are not responsible for third-party systems, their availability, or their terms. Your use of them remains subject to your agreements with those providers.
11. Fees, subscriptions & pilots
Paid Services are billed as set out in your order or subscription. Pilots may be offered free of charge and on an "as is" basis for a limited evaluation period, after which continued use requires a paid subscription. Fees are non-refundable except as required by law or expressly agreed.
12. Warranties & disclaimers
We provide the Services with reasonable skill and care. Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Cognitive Lab's total aggregate liability arising out of or related to the Services is limited to the amounts paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim (or, for free pilots, a nominal amount as stated in the pilot agreement). Nothing limits liability that cannot be limited by law.
14. Indemnification
You agree to indemnify Cognitive Lab against third-party claims arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of law or third-party rights, except to the extent caused by Cognitive Lab.
15. Term & termination
These Terms apply while you use the Services. We may suspend or terminate access for breach, for security or legal reasons, or as set out in your agreement. On termination, your right to use the Services ends; Customer Data is handled as described in your agreement and our Privacy Policy.
16. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules, and the parties submit to the courts located there — except where mandatory local law (for example, consumer-protection or data-protection law in your jurisdiction) provides otherwise. (Confirm the governing-law province and venue with counsel.)
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted with a revised effective date; continued use after changes constitutes acceptance.
